This Referral Agreement is entered into by and between TruWealth Capital LLC and the undersigned individual or entity ("Referrer").

1. Eligibility to Participate

Referrers may include individuals, LLCs, licensed professionals, influencers, and other approved parties. All Referrers must contact the Company via email at [email protected] to express interest and complete a short intake form—designed to take less than five (5) minutes—to be considered for the program.

2. Qualified Referrals

•Has not previously completed any transaction with TruWealth Capital;

•Has not been previously introduced to TruWealth Capital by another party;

•Submits a loan request that results in a successfully funded deal.

If there are multiple applicants, the referral is valid only if the principal borrower or majority interest holder is a first-time client.

3. Commission Structure

Referral commissions vary based on loan type, scope, and structure. Terms are confirmed per deal with a Commission Acknowledgment form.

4. Payment Terms

Commissions are paid within thirty (30) calendar days of a successful closing and full receipt of funds. Payouts are not guaranteed at closing table. If you'd like any updates or questions, we will be in constant communication but please reach out to [email protected].

5. Ongoing Commission Eligibility

Ongoing commissions apply if:

•Referrer remains in good standing

•The client continues to transact

•No fraud or breach occurs

6. Disqualification

Grounds for disqualification:

•Fraud or deception

•Illegal or prohibited activity

•Misrepresentation

•Violation of confidentiality

7. Tax Reporting & Compliance

W-9 required before payment. TruWealth Capital issues a 1099-NEC for earnings over $600/year, as per IRS regulations.

8. Confidentiality

Referrer must not share proprietary information, loan terms, or rates publicly. This includes Reddit, social media, and forums—unless they have prior written consent.

9. Program Modification & Termination

The program may be modified or terminated with 30 days' notice. This is not an employment agreement.

10. Governing Law

Agreement is governed by the laws of the State of Texas. All disputes shall be resolved in Texas courts.

11. No Guarantee of Client Acceptance

Referrals do not guarantee client approval. TruWealth Capital retains sole discretion in all funding decisions.

12. Independent Contractor Status

Referrers are independent contractors. They may not bind or represent the Company in any formal way.

13. Indemnification

Referrers agree to indemnify TruWealth Capital against legal claims arising from their actions or breach of this agreement.

14. Marketing and Communications

Referrers may not use logos, trademarks, or branding without written approval. All materials must be truthful and legal.
